1. Acceptance of Terms
These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and Cobalt Fern ("Company," "we," "our," or "us"), governing your use of our website and consulting services.
By accessing our website at cooballtfe.info, submitting inquiry forms, or engaging our consulting services, you agree to be bound by these Terms. If you do not agree with any part of these Terms, please do not use our website or services.
You must be at least 18 years old and have the legal capacity to enter into binding contracts to use our services. By accepting these Terms, you represent that you meet these requirements.
2. Definitions
"Services" refers to all consulting services provided by Cobalt Fern, including Market Entry Assessment, Operational Streamlining Engagement, Board-Level Strategy Facilitation, and related professional services.
"Agreement" means these Terms together with any service-specific proposals, statements of work, or engagement letters.
"Deliverables" means written reports, presentations, workshop materials, and other tangible outputs specified in engagement agreements.
"Confidential Information" means proprietary information disclosed by either party during the engagement, including business strategies, financial data, and research findings.
3. Service Description
Cobalt Fern provides business consulting services focused on market research, operational analysis, and strategic planning. Our services are delivered through fixed-fee engagements with defined scope, timeline, and deliverables as outlined in service-specific proposals.
We reserve the right to modify, suspend, or discontinue any aspect of our services at any time. We will provide reasonable notice to clients with active engagements before implementing changes that materially affect service delivery.
Service availability is subject to consultant capacity and scheduling. We cannot guarantee immediate availability for new engagements and will communicate realistic timelines during initial consultations.
4. Client Responsibilities
Clients engaging our services agree to the following responsibilities:
- Provide accurate and complete information necessary for service delivery
- Grant reasonable access to personnel, documents, and facilities as needed for project execution
- Respond to consultant inquiries and requests within reasonable timeframes
- Make timely payment according to agreed fee structures and payment schedules
- Maintain confidentiality of Cobalt Fern's proprietary methodologies and work product
- Use our services and website in compliance with applicable laws and regulations
Clients may not use our services for illegal purposes, to harm others, to violate intellectual property rights, or to circumvent security measures. Violation of these prohibitions may result in immediate termination of services.
5. Fees and Payment
Service fees are specified in engagement proposals and are quoted in Thai Baht. Standard payment structures require 50% advance payment upon agreement signing and 50% upon delivery of final deliverables for Market Entry Assessment and Operational Streamlining services. Board-Level Strategy Facilitation follows a 40-40-20 payment schedule as detailed in service documentation.
Payment is due within fifteen days of invoice date unless otherwise specified. Accepted payment methods include bank transfer to our Bangkok account, with wire transfer details provided in invoices. Late payments may incur interest charges of 1.5% per month or the maximum rate permitted by law, whichever is lower.
All fees are exclusive of applicable taxes. Clients are responsible for any value-added tax, withholding tax, or other taxes required by Thai law, except taxes based on our net income.
Refund requests are evaluated on a case-by-case basis. Advance payments are generally non-refundable once project work has commenced, except in cases of material service failure as determined in our sole discretion.
6. Intellectual Property Rights
All content on our website, including text, graphics, logos, images, and software, is the property of Cobalt Fern or its licensors and is protected by Thai and international copyright, trademark, and other intellectual property laws.
Upon full payment, clients receive a limited, non-exclusive, non-transferable license to use deliverables internally for business purposes. This license does not include the right to modify, reproduce for external distribution, or create derivative works without our prior written consent.
Cobalt Fern retains ownership of all consulting methodologies, frameworks, tools, and processes developed prior to or independently of client engagements. We reserve the right to use general knowledge and experience gained during engagements in serving other clients, provided we maintain client confidentiality.
Clients retain ownership of their pre-existing information and data provided to us during engagements. By providing such information, clients grant us a license to use it solely for delivering contracted services.
7. Disclaimers and Limitations
Our consulting services are provided on an "as is" basis. While we strive to deliver high-quality analysis and recommendations, we make no representations or warranties regarding specific business outcomes, market conditions, or financial results that may arise from following our recommendations.
Cobalt Fern is not responsible for decisions made by clients based on our deliverables. Our recommendations are advisory in nature and should be evaluated by clients in light of their specific circumstances, risk tolerance, and business judgment.
We do not provide legal, accounting, or investment advice. While our work may touch on regulatory, financial, or legal considerations, clients should consult appropriate licensed professionals for definitive guidance in these areas.
Information obtained from third parties during research activities is believed to be reliable but is not independently verified unless specifically stated. We are not responsible for inaccuracies in third-party data sources.
8. Limitation of Liability
To the maximum extent permitted by Thai law, Cobalt Fern's total liability for any claims arising from or related to our services shall not exceed the fees paid by the client for the specific engagement giving rise to the claim.
We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, lost business opportunities, or business interruption, even if we have been advised of the possibility of such damages.
These limitations apply regardless of the legal theory under which liability is asserted, whether in contract, tort, negligence, strict liability, or otherwise.
9. Confidentiality
Both parties agree to maintain the confidentiality of information disclosed during engagements. We will not disclose client confidential information to third parties without prior written consent, except as required to deliver services, comply with legal obligations, or as authorized by engagement agreements.
Confidentiality obligations do not apply to information that is publicly available, independently developed, already known to the receiving party, or required to be disclosed by law.
Confidentiality obligations survive termination of engagement agreements and continue indefinitely unless the information becomes publicly available through no fault of the receiving party.
10. Termination
Either party may terminate an engagement agreement by providing written notice to the other party. Termination by the client does not relieve payment obligations for work completed through the termination date, plus reasonable wind-down costs.
We reserve the right to terminate engagements immediately if the client breaches material terms, fails to make required payments, engages in conduct that damages our reputation, or if continuation would require us to violate professional standards or legal obligations.
Upon termination, we will deliver work product completed through the termination date and return client materials. Provisions regarding confidentiality, intellectual property, payment obligations, and limitation of liability survive termination.
11. Governing Law and Dispute Resolution
These Terms are governed by the laws of the Kingdom of Thailand, without regard to conflict of law principles. The courts of Bangkok, Thailand shall have exclusive jurisdiction over any disputes arising from these Terms or our services.
Before initiating formal legal proceedings, parties agree to attempt good-faith negotiation to resolve disputes. If negotiation does not resolve the matter within thirty days, either party may proceed with formal dispute resolution.
For disputes involving amounts under 500,000 Thai Baht, parties agree to submit to mediation administered by the Thai Mediation Center before pursuing litigation or arbitration.
12. General Provisions
Entire Agreement: These Terms, together with service-specific proposals and engagement letters, constitute the entire agreement between the parties and supersede all prior understandings, whether written or oral.
Severability: If any provision of these Terms is found to be unenforceable, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force.
Waiver: Failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.
Assignment: Clients may not assign or transfer rights under these Terms without our prior written consent. We may assign our rights and obligations to affiliates or successors in business transactions.
Notice: Notices required under these Terms shall be delivered via email to the addresses specified in engagement agreements or to [email protected] for notices to Cobalt Fern.
13. Changes to Terms
We reserve the right to modify these Terms at any time. When we make material changes, we will update the "Last Updated" date and post the revised Terms on our website.
Changes become effective immediately upon posting for new clients. For existing engagements, changes apply to renewal periods or new engagements following the change date. Continued use of our services after changes become effective constitutes acceptance of the modified Terms.
